Please read these Terms carefully before using FoundIQ. They explain the rules, responsibilities, and legal terms that apply to your use of our scouting intelligence platform.
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the FoundIQ platform, website, applications, APIs, and related services (collectively, the "Service") operated by FoundIQ Ltd ("FoundIQ", "we", "us", or "our").
By creating an account, subscribing to a plan, or otherwise accessing the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, agency, club, or other organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
In these Terms:
- "Account" means the registered user profile through which you access the Service.
- "Content" means all data, reports, analyses, player profiles, intelligence outputs, text, graphics, and other materials made available through the Service.
- "Customer Data" means information you or your authorised users submit to the Service, including search queries, watchlists, account settings, and integration credentials.
- "Subscription" means a paid or trial access plan to the Service, including Scout, Agency, and Enterprise tiers.
- "Third-Party Data" means football performance, scouting, or related data supplied by external providers such as Wyscout or other integrated data sources.
- "User" means any individual authorised by you to access the Service under your Account.
3. Description of Service
FoundIQ provides a scouting intelligence platform that combines football data, automated monitoring, and AI-assisted analysis to help users identify, evaluate, and track youth and professional players.
The Service may include agentic search, daily digests, player profiles, intelligence scoring, watchlists, report generation, team accounts, and related features. Features available to you depend on your Subscription tier and account configuration.
We may modify, improve, suspend, or discontinue any part of the Service at any time. Where a material change adversely affects a paid Subscription, we will use reasonable efforts to notify account holders in advance.
4. Account Registration and Eligibility
You must provide accurate, complete, and current registration information and keep your Account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.
The Service is intended for professional scouting, agency, club, and football intelligence use. You must be at least 18 years old and legally able to enter into a binding contract to use the Service.
You must notify us promptly at cameron@foundiq.io if you suspect unauthorised access to your Account. FoundIQ is not liable for losses arising from unauthorised use where you have failed to safeguard your credentials.
5. Subscription Plans, Billing, and Payment
Access to certain features requires a paid Subscription. Pricing, plan limits, and billing intervals are displayed on our website or agreed in writing for Enterprise customers.
Payments are processed by Stripe or another approved payment provider. By subscribing, you authorise us to charge your selected payment method on a recurring basis until you cancel in accordance with these Terms.
Subscription fees are quoted exclusive of applicable taxes unless stated otherwise. You are responsible for any VAT, sales tax, or similar charges associated with your purchase.
Unless required by law or expressly stated in a separate agreement, Subscription fees are non-refundable. If you cancel, your access continues until the end of the current billing period.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or unauthorised purpose.
- Attempt to gain unauthorised access to the Service, other accounts, or underlying systems.
- Reverse engineer, decompile, scrape, or extract source code, models, or proprietary logic except where permitted by law.
- Resell, sublicense, or commercially redistribute the Service or Content without our written consent.
- Upload malicious code, interfere with Service performance, or overload infrastructure.
- Use the Service in a manner that infringes third-party rights or breaches applicable football, data, or employment regulations.
- Misrepresent AI-generated outputs as guaranteed facts, medical assessments, or contractual recommendations without independent verification.
7. Intellectual Property
FoundIQ and its licensors retain all rights, title, and interest in the Service, including software, branding, interface design, algorithms, intelligence scoring methodologies, documentation, and all related intellectual property.
Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the Subscription term.
You retain ownership of Customer Data you submit. You grant FoundIQ a worldwide licence to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service.
8. Third-Party Data and Integrations
The Service may incorporate or depend on Third-Party Data and integrations, including data feeds, analytics providers, payment processors, email services, and AI model providers.
Your use of Third-Party Data may be subject to additional terms imposed by the relevant provider. You are responsible for obtaining and maintaining any licences, credentials, or permissions required to connect third-party systems to FoundIQ.
FoundIQ does not control and is not responsible for the accuracy, completeness, availability, or timeliness of Third-Party Data. Outputs generated from such data are provided for informational purposes only.
9. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Confidential information includes non-public business, technical, pricing, and product information, but excludes information that is publicly available without breach, independently developed, or lawfully obtained from a third party.
The receiving party will use confidential information only to perform under these Terms and will protect it using at least reasonable care. Confidentiality obligations do not apply where disclosure is required by law, provided the disclosing party gives notice where legally permitted.
Player intelligence, internal reports, and account-specific outputs generated for you through the Service should be treated as confidential business information unless you choose to share them or we expressly permit broader distribution.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FoundIQ disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
AI-generated analyses, scores, flags, and recommendations are probabilistic and informational. They do not constitute professional scouting guarantees, investment advice, employment decisions, or contractual offers.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, or that results obtained through the Service will meet your requirements.
11. Limitation of Liability
To the maximum extent permitted by law, FoundIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business, opportunities, or goodwill, arising out of or related to the Service or these Terms.
FoundIQ's total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the fees paid by you to FoundIQ in the twelve months preceding the event giving rise to the claim, or (b) one hundred pounds sterling (£100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.
12. Suspension and Termination
You may cancel your Subscription through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period unless otherwise agreed.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, pose a security risk, or if required by law or a third-party provider.
Upon termination, your right to access the Service ceases. We may delete or anonymise Customer Data after a reasonable retention period, except where retention is required by law or legitimate business need. Provisions that by nature should survive termination will remain in effect.
13. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve disputes through direct negotiation for at least thirty (30) days after written notice of the dispute.

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on our website and update the "Last updated" date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
If you do not agree to updated Terms, you must stop using the Service and cancel your Subscription before the changes take effect.
